Terms and Conditions to receive that Special Attention that you Deserve
These terms and conditions relate to all services ordered from or provided to you by “ebtss.com (msm) limited” and by requesting these services from” ebtss.com (msm) limited”, you agree with and abide by these conditions, which shall apply to those services and your order.
“ebtss.com (Media Services Management) limited” will be referred to as “ebtss.com (msm) ltd”
I: Definitions and Comprehension
In these conditions the following definition’s and Comprehension apply.
Services: Means the benefits made available to members by “ebtss.com(msm) Ltd” or its suppliers
Conditions: These and following conditions may be amended from time to time and will be notified by e-mail 30 days before commencement of incorporation.
Joining Fee: Means the fee payable by the member to “ebtss.com(msm)ltd” upon acceptance of a membership application
Member: A person having completed an acceptable application and submitted to “ebtss.com(msm)ltd”
Membership card: Means the “The Members Pack” issued to Members by “ebtss.com(msm) ltd” owned at all times by “ebtss.com(msm) ltd”.
Membership Club: Means the “ebtss.com(msm)ltd” designed style of life, actively created by the company as a brand to strive for. Wholly owned by “ebtss.com (msm) limited”
Membership Fees: Means the fees payable in respect of membership, notified to members on application or renewal of membership.
Payment card: Method of payment authorised by you on a single or recurring authority.
Website: Relates to our internationally viewed website at www.ebtss.com
Projects and Requests: Means an order placed by a member with “ebtss.com(msm) ltd” to arrange goods or supply and/or to provide services from a third party on a member’s behalf. Our commitment and communication would adhere to your specific requirements.
Services: Relate to the “designed style of life” required by the member and services corresponding to this expectation, provided by “ebtss.com(msm) ltd” to its members as part of their membership.
Supplier: States the supplier engaged by “ebtss.com(msm) ltd” on behalf of and as an agent for the member and has the responsibility to secure goods and or services for that member. “ebtss.com(msm) ltd” will communicate with the supplier to fulfil the members request unless it is more beneficial for the member to contact the supplier direct.
Individual: Relates to a naturalised person, (whether or not having separate legal personality)
Instructions: With reference to writing or written includes e-mails and or text as a legal document.
Membership Application and your receipt of Membership Acceptance
All Membership applications are subject to acceptance by “ebtss.com(msm) ltd” at its sole discretion. “ebtss.com(msm) ltd” shall notify applicants in the event that his or her membership has been accepted. “ebtss.com(msm) ltd” is under no duty to disclose its reasons for rejecting any membership application.
Applicant Obligation: The applicant is obliged to provide correct personal details that are relevant to your application and our operational requirements to fulfil your requests.
Failure to do so may invalidate your membership and any subsequent transactions. In addition we require any relevant information as regards change of contacts and circumstances. Your membership is unique to you and it is the member’s responsibility to ensure that the services are only available to immediate executives or immediate family members.
Company Obligation: We will take all reasonable steps, necessary to ensure your data is treated securely and in accordance with “ebtss.com(msm) ltd” privacy policy. Information will be stored securely. All payments taken by a third party supplier will be encrypted and processed using secured technology.
Loss of membership: Please advise “ebtss.com(msm) ltd” by phone or e-mail if your card for any reason is lost or mislaid. A replacement will be forwarded to a current location.
Membership Changes: Membership fees once accepted will remain the payment of services provided by “ebtss.com(msm) ltd”. Any increase or decrease in membership charges will be advised to the member in writing or by e-mail in advance of any annual renewal.
You have the right to cancel up to 14days, after we have received payment of your membership fee. If you cancel your membership within the 14 day cancellation period, you will receive a full refund less any services supplied to your membership up until we receive your notification in writing or by email, the e-mail date sent will be the accepted date in all cases. If you cancel outside the 14day cancellation agreement, “ebtss.com(msm) ltd” reserve the right to refund on a pro rata basis to the nearest 3 month cycle of the date of membership less any services supplied where payment is outstanding.
“ebtss.com(msm) ltd” reserves the absolute right to cancel or suspend any membership where it has reason to do so. If your membership is cancelled “ebtss.com(msm) ltd” will refund any outstanding period of membership, less any transaction, service, and quarterly pro rata charges to which the membership fee relates.
Supply of Services: “ebtss.com(msm) ltd” shall supply goods and services to the member during the membership, provided that “ebtss.com(msm) ltd”, at its own discretion, does not violate applicable laws and standards of decency in the country of origin or destination; or conflict with the jurisdiction of any designated international airline and its regulations of carriage with any products or services delivered within or outside the European Customs Union. Any relevant sales tax or customs duties shall not be refundable through “ebtss.com(msm) ltd” and would be subject to jurisdiction of the applicable customs / border agency and local law legislation
“ebtss.com(msm) ltd” reserves the right to amend services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the services. “ebtss.com(msm) ltd” will by obligation communicate any adjustments to the customer before transaction of the service. Alternative products / substitutions may be offered at that time and will be amended and agreed with the member before the transaction is completed. The member at their sole discretion may not wish to transact the alternative service or product offered and would be entitled to request a full refund in the event that any payment had been arranged for the original product or service.
In addition “ebtss.com(msm) ltd” shall use its resources to meet any performance dates specified. Though it is agreed, that such dates shall be best estimates only, time estimates shall not be the stated forerunner to the delivery of that service and to the detriment of that service.
You as a valued member of “ebtss.com(msm) ltd”, acknowledge that “ebtss.com(msm) ltd” may on occasion, reserve the right to accept a commission upon the supply of products or performance of services by any supplier.
NB: If “ebtss.com(msm) ltd”, is unable to perform or complete any request. “ebtss.com(msm) ltd” will endeavour to inform the member within a reasonable time frame, subject to geographical location, time zone and electronic device communication response.
Pre-paid Services: “ebtss.com(msm) ltd” shall not be held liable for payment on any services requested by the member, whereby payment involves a deposit or full purchase. When you, as a member, request a pre-paid service, you hereby authorise “ebtss.com(msm) ltd” to debit your payment card for any deposit or pre-payment required for: Restaurant, clubs, flight bookings, purchase of goods and any other service.
Alternative credits to our account can be made by electronic transfer, to which we will acknowledge by text, e-mail or in person.
“ebtss.com(msm) ltd” reserves the right to deny pre-paid requests, from members, if members fail to honour their bookings or violate cancellation policies.
Venues and Passes: Acceptance of any “ebtss.com(msm) ltd” members to any arranged venue will be at the sole discretion of the owner/supplier of the venue irrespective of whether passes or tickets have been purchased. “ebtss.com(msm) ltd” will accept no liability in connection with the refusal of admission to any venue by any member. In addition on occasion “ebtss.com(msm) ltd” may obtain “priority passes” in relation to venues and events. Please note that instructing “ebtss.com(msm) ltd” to purchase such passes/tickets, that these may incur, above face value cost and an additional service charge as designated by the supplier. “ebtss.com(msm) ltd” is not responsible for the fulfilment of your order as “ebtss.com(msm) ltd” is not the vendor of the passes/tickets.
Refunds/Exchange: All vendors and ticket agent partners have their own terms and conditions which we duly advise you to comprehend fully, as once purchased on your behalf “ebtss.com(msm) ltd” have no responsibility for obtaining refunds from ourselves or through the vendor on your behalf.
Cancellations: Cancellation of show / event by promoter or artist: “ebtss.com(msm) ltd” would endeavour to coordinate and liaise with the vendor to facilitate the possibility of an alternative date or refund of the face value of the relevant passes/tickets.
Delivery of passes: This facility will be agreed between the member and “Service Director” at the time of the request and will remain in place, unless “ebtss.com(msm) ltd” is given sufficient notice in advance of any changes and agreed between the “Service Director” and the member.
Your Instructions: Your instructions or service requests can be placed:

- By telephone as per your dedicated telephone numbers to “ebtss.com(msm) ltd”
NB: (All text requests must be acknowledged by “ebtss.com(msm) ltd” to confirm receipt)
On requesting a service or product, payment may be required. If you request and authorise “ebtss.com(msm) ltd” to use your payment card in order to pay a supplier for the purchase of products or services, you agree and acknowledge that “ebtss.com(msm) ltd” shall not be responsible or have any liability in any way, in respect of the use of your payment card, provided that “ebtss.com(msm) ltd” have followed and complied to your instructions in relation to the purchase of services and products.
Handling Charges: On occasions suppliers may charge a:
Courier/Service /Handling/Package and or Postage levy. Any supplementary charges will be advised to the member prior to the transaction taking place. Redelivery of any goods may incur further charges if the member is not available to receive their goods at the pre-arranged time and venue. Payment may take the form of a debit/credit card or invoice, in respect of any supplementary fees and charges
NB: On all our services the member undertakes the responsibility to maintain sufficient funds to cover cost of the service or product.
Member’s Default: “ebtss.com(msm) ltd” will, without prejudice and without limiting its other rights, have the right to suspend any services or requests for products until the member remedies, the members default. Consequently, if there is a continuation period exceeding three months from the start of the members’ defaults, this continued action will relieve “ebtss.com(msm) ltd” of its obligations appertaining to the membership.
“ebtss.com(msm) ltd” shall not be liable for any costs or losses arising or incurred, directly or indirectly, from those services suspended. “ebtss.com(msm) ltd” hereby detail that any costs or losses incurred by the company on behalf of the member will be reimbursed by the member, on written demand.
Limitation of Liability: The “Terms and Conditions” hereby stated does not affect a member’s statutory rights in relation to the production of goods and services. “ebtss.com(msm) ltd” shall not be liable to the member, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, loss of business, good will and all similar losses, loss of anticipated savings, loss of goods; or loss of contract, or loss of use or, loss of data or corruption including information and electronic property. All properties are related directly or indirectly and therefore include any consequential loss, economic loss, costs, damages, charges and /or expenses arising from or in connection with their membership. “ebtss.com(msm) ltd” total liability in respect of all losses arising under or in connection with their membership, whether in contract, tort (including negligence) breach of statutory duty or otherwise shall be limited to the total value of the Member’s annual membership fee.
Third Party Contract: Your contract for the supply of a product and service may be made directly with the supplier, in doing so, your contract is directly with the supplier and “ebtss.com(msm) ltd” has no liability in the fulfilment of this contract therefore any remedies are to be made directly with the supplier, whether or not arranged through “ebtss.com(msm) ltd”. Consequently “ebtss.com(msm) ltd” will have no liability to you for any loss, damage, costs expenses or other claims for compensation arising from requests / instructions given by members, which are incomplete, incorrect, inaccurate or arising from late arrival/ non-arrival or any Member default. In addition “ebtss.com(msm) ltd” shall not be liable to any Member(s) or be deemed to be in breach of these conditions, due to any reduction or omission of service; in the event that the subsequent reduction or omission of service was due to external failures being beyond the control of “ebtss.com(msm) ltd”.
Conditions: The above conditions will be considered binding, upon the members’ successful application and “ebtss.com(msm) ltd” acceptance and confirmation of membership fee. These conditions remain in place and are binding for the term of membership and will only cease to be binding on the expiry or termination of the membership. The member therefore agrees that their rights and remedies shall be against “ebtss.com(msm) ltd” and no other entity.
Governing Law: Governing law and jurisdiction: These conditions and any dispute/claim arising out of or in connection with it, or its subject matter or formation (including non- contractual disputes or claims), shall be governed and construed in accordance with, English Law and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
